Please read these Terms carefully. By accessing or using BizSoft's platform or services, you agree to be bound by these Terms of Use. If you do not agree, you must not use our services.
1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you (the individual accessing or using the platform, or the legal entity on whose behalf you act — collectively "you" or "Customer") and BizSoft Technologies Limited ("BizSoft", "we", "us", or "our"), governing your access to and use of the BizSoft cloud-based enterprise resource planning (ERP) and accounting software platform, including all associated applications, application programming interfaces (APIs), websites, tools, and related services (collectively, the "Platform" or "Services").
By creating an account, clicking "I Agree," proceeding through any onboarding flow, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must immediately cease all use of the Platform and, if you have an account, contact us to arrange its closure.
2. About BizSoft
BizSoft Technologies Limited is a technology company incorporated and registered in the Federal Republic of Nigeria. We operate the BizSoft Platform, a cloud-hosted software-as-a-service (SaaS) solution designed to help businesses manage their operations including, but not limited to, inventory, sales, accounting, finance, human resources, payroll, production, warehousing, vendor management, customer relationship management (CRM), and business intelligence reporting.
BizSoft is headquartered in Nigeria and primarily serves the Nigerian market, though our services may be accessed internationally. Our operations are subject to applicable Nigerian law, including the Companies and Allied Matters Act (CAMA) 2020, the Nigerian Data Protection Regulation (NDPR), and relevant regulations of the Federal Inland Revenue Service (FIRS), the National Information Technology Development Agency (NITDA), and other regulatory bodies.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
- Have the legal capacity to enter into a binding contract;
- Be accessing the Platform on behalf of a legitimate business or as a sole trader engaged in lawful commercial activity;
- Not be prohibited from using the Platform under applicable Nigerian law or the laws of any other applicable jurisdiction; and
- Not have previously had a BizSoft account terminated for breach of these Terms.
By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. We reserve the right to verify your eligibility at any time and to refuse or terminate service if we determine, in our sole discretion, that the eligibility requirements are not met.
4. User Accounts and Registration
4.1 Account Creation
To access the Platform, you must create an account by providing accurate, current, and complete information as requested during the registration process. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.
4.2 Account Credentials
You are responsible for maintaining the confidentiality of your login credentials (username and password) and for all activities that occur under your account. You agree to:
- Use a strong, unique password and enable two-factor authentication where available;
- Notify us immediately at support@bizsoft.com.ng of any suspected unauthorised access to your account;
- Not share your credentials with any person not authorised to act on your behalf; and
- Log out of your account after each session on shared devices.
BizSoft will not be liable for any loss or damage arising from your failure to comply with these security obligations.
4.3 Sub-Users and Administrators
If you are an account administrator, you may create sub-user accounts for your employees or agents within the limits of your subscription plan. You are solely responsible for all actions taken by sub-users under your account and for ensuring that sub-users comply with these Terms. You must promptly revoke access for any sub-user who is no longer authorised.
4.4 Account Accuracy
You must not impersonate any person or entity or misrepresent your affiliation with any person or entity. Providing false account information is grounds for immediate suspension or termination of your account.
5. Licence Grant and Restrictions
5.1 Licence Grant
Subject to your compliance with these Terms and payment of applicable fees, BizSoft grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business operations during the term of your subscription.
5.2 Restrictions
You must not, and must not permit any third party to:
- Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Platform or any part thereof;
- Resell, sublicense, rent, lease, loan, or otherwise provide access to the Platform to any third party on a commercial basis without our prior written consent;
- Remove, alter, or obscure any proprietary notices, logos, or marks on or within the Platform;
- Use the Platform to build a competing product or service;
- Access the Platform by automated means (including bots, scrapers, or crawlers) except through APIs explicitly provided and permitted by BizSoft;
- Interfere with or disrupt the integrity, performance, or security of the Platform or the data of any other user; or
- Circumvent, disable, or otherwise interfere with security-related features of the Platform.
6. Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others. You must not use the Platform to:
- Process, store, or transmit data in violation of applicable law, including but not limited to laws relating to privacy, data protection, export controls, or anti-money laundering;
- Engage in fraudulent, deceptive, or misleading activities;
- Upload or transmit viruses, malware, ransomware, or any other malicious code;
- Conduct any form of phishing, social engineering, or identity theft;
- Generate or distribute spam or unsolicited communications;
- Violate any applicable financial regulations, including those of the Central Bank of Nigeria (CBN) or FIRS;
- Conduct or facilitate illegal business activities including tax evasion, money laundering, or financing of terrorism; or
- Use the Platform in any way that could damage BizSoft's reputation or business.
BizSoft reserves the right to investigate any suspected violation of this Acceptable Use Policy and to take appropriate action, including suspension or termination of your account and referral to law enforcement authorities.
7. Subscriptions, Fees and Payment
7.1 Subscription Plans
Access to paid features of the Platform requires a valid, active subscription plan. Our subscription plans, features, and pricing (in Nigerian Naira, NGN) are as described on our pricing page and may be updated from time to time with reasonable notice. Value Added Tax (VAT) at the applicable statutory rate will be added to all invoices where required by Nigerian law.
7.2 Billing and Payment
Subscriptions are billed in advance on a monthly or annual basis as selected at the time of purchase. Fees are non-refundable except as expressly provided in these Terms or as required by applicable law. Payment must be made by a valid, accepted payment method. You authorise us to charge your selected payment method for all fees due under your subscription.
7.3 Failed Payments and Suspension
If your payment fails, we will notify you and may make additional attempts to process payment. If payment remains outstanding for more than 7 (seven) calendar days after the due date, we reserve the right to suspend your access to the Platform without further notice until all outstanding amounts are settled.
7.4 Price Changes
BizSoft reserves the right to change subscription prices at any time. We will provide at least 30 (thirty) days' advance written notice of any price change to existing subscribers via email. Your continued use of the Platform after the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
7.5 Refunds
Monthly subscriptions are non-refundable once the billing period has commenced. For annual subscriptions, if you cancel within 14 (fourteen) days of the initial purchase date and have not substantially used the Platform, you may be eligible for a pro-rata refund at our sole discretion. Refund requests must be submitted in writing to billing@bizsoft.com.ng.
8. Free Trial
We may, from time to time, offer a free trial period (currently 30 days) to new customers. During the free trial, you may access the Platform with the features and limitations specified at the time of sign-up. No payment information is required to start a trial. At the end of the trial period, you will be required to subscribe to a paid plan to continue using the Platform. We reserve the right to modify or discontinue free trial offers at any time without notice.
If you create multiple accounts to obtain additional free trials, we reserve the right to terminate all such accounts and refuse future service.
9. Confidentiality and Data
9.1 Your Data
You retain full ownership of all data, information, and content that you upload, input, or generate through the Platform ("Customer Data"). BizSoft does not claim any ownership rights over your Customer Data. You grant BizSoft a limited licence to access, process, store, and use your Customer Data solely for the purpose of delivering and improving the Services to you.
9.2 Data Processing
BizSoft processes your personal data in accordance with our Privacy Policy and applicable data protection legislation, including the Nigerian Data Protection Regulation (NDPR). Please review our Privacy Policy to understand how we collect, use, store, and protect your information.
9.3 Data Accuracy
You are solely responsible for the accuracy, quality, and legality of your Customer Data. BizSoft does not verify or audit the accuracy of Customer Data and is not responsible for any errors, inaccuracies, or financial consequences arising from incorrect data entered into the Platform.
9.4 Confidential Information
Each party agrees to keep the other's Confidential Information (including business data, trade secrets, pricing, technical information, and these Terms) strictly confidential and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law or regulation.
10. Intellectual Property
The Platform, including all software, source code, algorithms, user interfaces, designs, graphics, logos, trademarks, and all other content and materials (collectively, "BizSoft IP"), are and shall remain the exclusive property of BizSoft Technologies Limited and its licensors, protected by Nigerian and international intellectual property laws.
Nothing in these Terms transfers any ownership right in BizSoft IP to you. The BizSoft name, logo, and all related marks are trademarks of BizSoft Technologies Limited. You must not use our trademarks without our prior written permission.
Any feedback, suggestions, or ideas you provide to BizSoft regarding the Platform ("Feedback") may be used by BizSoft without restriction or compensation to you. You hereby irrevocably assign to BizSoft all rights, title, and interest in and to such Feedback.
11. Third-Party Services
The Platform may integrate with or link to third-party services, applications, or websites (e.g., payment gateways, bank feeds, cloud storage providers). These third-party services are governed by their own terms and privacy policies, which you should review independently. BizSoft makes no representations or warranties regarding third-party services and is not responsible for any loss or damage arising from your use of or reliance on any third-party service. Your interactions with third-party providers are solely between you and the relevant third party.
12. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIZSOFT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE PLATFORM WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS;
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND
- WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY FINANCIAL REPORTS, CALCULATIONS, OR DATA GENERATED BY THE PLATFORM.
The Platform is a business software tool and does not constitute professional legal, tax, accounting, or financial advice. You are solely responsible for verifying that all financial computations, tax filings, and compliance reports generated by the Platform are accurate and comply with applicable laws and regulations. We strongly recommend that you engage qualified professional advisors for all statutory and regulatory compliance matters.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZSOFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS; OR
- DAMAGES ARISING FROM: (I) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (II) ANY UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; (III) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR IN CONNECTION WITH THE PLATFORM; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICES;
EVEN IF BIZSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZSOFT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO BIZSOFT IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, BizSoft's liability shall be limited to the maximum extent permitted by applicable law in that jurisdiction.
14. Indemnification
You agree to indemnify, defend, and hold harmless BizSoft Technologies Limited and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Platform;
- Your Customer Data, including any claim that your Customer Data infringes the rights of a third party;
- Your breach of these Terms;
- Your violation of any applicable law, regulation, or third-party rights; or
- Any fraud, wilful misconduct, or gross negligence by you or your sub-users.
15. Term and Termination
15.1 Term
These Terms commence on the date you first access or create an account on the Platform and continue until terminated in accordance with this section.
15.2 Termination by You
You may terminate your subscription and close your account at any time by notifying us through your account settings or by contacting support@bizsoft.com.ng. Termination will take effect at the end of your current billing period. No refunds will be issued for any unused portion of a monthly subscription period.
15.3 Termination by BizSoft
BizSoft reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if:
- You materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within 14 (fourteen) days of receiving written notice;
- You fail to pay any amounts due under these Terms after a grace period;
- We are required to do so by law or order of a competent authority; or
- We determine, in our reasonable discretion, that continued provision of the Platform poses a risk to BizSoft, other users, or the security or integrity of the Platform.
15.4 Effect of Termination
Upon termination of your account, your licence to use the Platform immediately ceases. For a period of 30 (thirty) days following termination (unless termination is due to your breach), you may request an export of your Customer Data. After this period, BizSoft may permanently delete your Customer Data from its systems, subject to any legal retention obligations. All provisions of these Terms that by their nature should survive termination shall survive, including sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
16.2 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, the parties shall first attempt to resolve the dispute through good-faith negotiation. Either party may initiate such negotiation by providing the other party with written notice describing the nature of the dispute. The parties shall have 30 (thirty) days from the date of such notice to attempt resolution through negotiation.
If the dispute cannot be resolved through negotiation, the parties agree to attempt to resolve it through mediation administered by a mutually agreed mediator in Lagos, Nigeria. The costs of such mediation shall be shared equally.
If mediation fails, either party may refer the dispute to the jurisdiction of the courts of the Federal Republic of Nigeria, and both parties irrevocably submit to the non-exclusive jurisdiction of such courts.
17. Force Majeure
BizSoft shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond BizSoft's reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, acts of terrorism, strikes, governmental actions, power outages, internet or telecommunications failures, or third-party service disruptions. In the event of a force majeure event, BizSoft will use reasonable efforts to notify you and to restore the affected services as soon as reasonably practicable.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Order Form or subscription confirmation, constitute the entire agreement between you and BizSoft with respect to the Platform and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
18.2 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.3 Waiver
BizSoft's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by BizSoft in writing.
18.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without BizSoft's prior written consent. BizSoft may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, provided that such assignment does not materially reduce the quality of services provided to you.
18.5 Notices
All notices under these Terms shall be in writing and delivered by email. Notices to BizSoft shall be sent to legal@bizsoft.com.ng. Notices to you shall be sent to the email address registered on your account. Notices shall be deemed received on the next business day after sending, provided no delivery failure notice is received.
19. Changes to These Terms
BizSoft reserves the right to modify these Terms at any time. We will provide at least 14 (fourteen) days' advance notice of material changes by posting the updated Terms on our website and/or sending an email to your registered address. Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform before the changes take effect. We encourage you to review these Terms periodically.
